Acquisition Advances ShoreTel's Cloud Strategy

SUNNYVALE, Calif., Feb. 1, 2012 – ShoreTel Inc. (NASDAQ: SHOR), the leading provider of brilliantly simple IP phone systems with fully integrated unified communications (UC), today announced it has signed a definitive agreement to acquire M5 Networks ("M5"), a recognized leader in hosted Unified Communications. As a result of the acquisition, ShoreTel will be uniquely positioned to provide customers a choice between on-premise and hosted UC solutions.

Under the terms of the definitive agreement, M5 shareholders will receive approximately $84 million in cash and 9.5 million shares of ShoreTel stock, which equates to a total of $146.3 million in initial consideration based on a ShoreTel's average stock price over the prior 30 trading days. In addition, M5 shareholders may receive additional contingent consideration of up to $13.7 million. The contingent payments are payable over the two years after closing and are based upon the achievement of certain revenue performance milestones for the year ended Dec. 31, 2012.

Study Shows IT and Business Professionals are Finding Business Advantages in Cloud Infrastructure-as-a-Service

Sixty-Seven Percent of Respondents are Using Public Cloud Services for Mission-Critical Applications

PALO ALTO, Calif., Oct. 31, 2012—VMware, Inc. (NYSE: VMW), the global leader in virtualization and cloud infrastructure, today announced new research findings that demonstrate public cloud adoption has moved beyond test and development in many companies. The study, commissioned by VMware and conducted by analyst firm Enterprise Strategy Group (ESG), found 67 percent of the mid-market and enterprise companies surveyed are running what they view as mission-critical workloads on Infrastructure-as-a-Service (IaaS).

"The study demonstrates that IaaS from cloud service providers is seeing broad adoption by mainstream business for business-critical applications and data, moving beyond test and development," said Mathew Lodge, vice president, cloud services, VMware. NCA's Open Letter Regarding RSA

As you may be aware, RSA has recently released an open letter stating that the security breach which took place in March of this year did indeed comprise an element of its SecurID two-factor authentication solution. We have included a copy of the letter sent by Art Coviello, the Executive Chairman of RSA, which explains this further. As indicated in his letter, RSA's SecurID product has now been verifiably implicated in a recent (but unsuccessful) attack against Lockheed Martin.

EMC to Acquire Web Fraud Detection and Security Software Provider Silver Tail Systems

Pioneering Developer of Big Data-driven Solutions to Join RSA Security Division

HOPKINTON, Mass. and MENLO PARK, Calif , October 30, 2012—EMC ® Corporation (NYSE: EMC) today announced it has signed a definitive agreement to acquire privately-held Silver Tail Systems , a leader in real-time web session intelligence and behavioral analysis. Upon closing, Silver Tail will operate within the RSA security division and is expected to extend the capabilities of RSA's Identity Protection and Verification (IPV) solutions, as well as other areas across RSA's enterprise security portfolio. Terms of the deal were not disclosed. The acquisition is expected to be completed in the fourth quarter of 2012, subject to certain closing conditions. The acquisition is not expected to have a material impact to EMC GAAP or non-GAAP EPS for the full 2012 fiscal year.

On March 17, 2011, RSA publicly disclosed that it had detected a very sophisticated cyber attack on its systems, and that certain information related to the RSA SecurID® product had been extracted.

We immediately published best practices and our prioritized remediation steps, and proactively reached ou to thousands of customers to help them implement those steps. We remain convinced that customers who implement these steps can be confident in their continued security, and customers in all industries have given us positive feedback on our remediation steps.

Certain characteristics of the attack on RSA indicated that the perpetrator's most likely motive was to obtain an element of security information that could be used to target defense secrets and related IP, rather than financial gain, PII, or public embarrassment. For this reason, we worked with government agencies and companies in the defense sector to replace their tokens on an accelerated timetable as an additional precautionary measure. We will continue these efforts.
